1. Definitions
In these Terms & Conditions ("Terms"), the following definitions apply:
- "Service" refers to the TaskShift web application, Chrome extension, API, and all related services.
- "User", "you", or "your" refers to any individual or entity using the Service.
- "We", "us", or "our" refers to TaskShift.
- "Flow" refers to an automation workflow created within the Service.
- "Credits" refers to the units consumed when using AI-powered features.
- "Subscription" refers to your paid or free plan with TaskShift.
- "Content" refers to any data, flows, configurations, or materials you create or upload.
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Description of Service
TaskShift provides tools to build and run browser automation workflows:
- A visual flow builder for creating automation steps
- A Chrome extension for executing flows in your browser
- AI-powered features to assist with flow creation and element selection
- Data extraction and export capabilities
- An API for programmatic access (on eligible plans)
The Service is provided "as is" and we do not guarantee uninterrupted availability or error-free operation.
4. Account Registration and Security
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Keep your API keys confidential and secure
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or show signs of unauthorized access.
5. Subscription, Billing & Credits
5.1 Plans and Pricing
We offer various subscription plans with different features and limits. Current pricing is displayed on our website. We reserve the right to modify pricing with reasonable notice.
5.2 Billing
Paid subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
5.3 Credits
AI credits are included with your subscription and refresh monthly at the start of each billing cycle. Unused credits do not roll over. Credits are consumed when using AI-powered features such as:
- AI step suggestions
- Smart element selection
- Natural language commands
- Heavy AI processing features (on applicable plans)
5.4 Refunds
Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a billing error or technical issue, contact our support team within 14 days of the charge.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes. You may NOT use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Automate websites in violation of their terms of service or robots.txt directives
- Engage in unauthorized data scraping, harvesting, or collection
- Distribute malware, viruses, or other harmful code
- Send spam, phishing attempts, or unsolicited communications
- Conduct denial-of-service attacks or overload third-party systems
- Circumvent security measures or access systems without authorization
- Infringe on intellectual property rights
- Harass, abuse, or harm others
- Create fake accounts or impersonate others
Important: You are solely responsible for ensuring your automations comply with the terms of service of the websites you automate. TaskShift is not responsible for how you use the Service.
7. Intellectual Property
7.1 TaskShift Property
The Service, including its design, code, features, and documentation, is owned by TaskShift and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our permission.
7.2 Your Content
You retain ownership of the flows and content you create using the Service. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.
8. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
- We do not warrant that the Service will be uninterrupted, error-free, or secure.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
- We are not responsible for any actions taken by third-party websites that you automate.
10. Indemnification
You agree to indemnify and hold harmless TaskShift and its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
11.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that time.
11.2 By Us
We may suspend or terminate your access to the Service at any time if:
- You violate these Terms
- Your account shows signs of fraud or abuse
- Required by law
- We discontinue the Service (with reasonable notice)
11.3 Effect of Termination
Upon termination, your right to use the Service ceases. We may delete your data after a reasonable retention period, unless required to retain it by law.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaskShift.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to an affiliate or successor.
- Governing Law: These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.
